1. Agreement to Terms

"These Terms of Service ('Terms') constitute a legally binding agreement between you, the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service (collectively, 'User,' 'you,' or 'your') and Mills Studios ('Company,' 'we,' 'us,' or 'our')."

2. User Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Services

Mills Studios provides professional photography services. All services are described on our website and are subject to availability. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

4. User Conduct

You agree not to use the Service:

• For any unlawful or fraudulent purpose.
• To harass, abuse, or harm another person.
• To infringe upon our or any third party's intellectual property rights.
• To upload or transmit viruses or any other malicious code.
• In any way that could disable, overburden, damage, or impair the Service.

5. Intellectual Property

All content included on the Service, such as photographs, images, text, graphics, logos, and software, is the property of Mills Studios or its content suppliers and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from such content without our express written permission.

Upon full payment for services, the Client is granted a non-exclusive, perpetual license to use the delivered photographs for personal use. Unless purchased separately, commercial use rights are not granted. Mills Studios retains the copyright to all images and reserves the right to use any images for promotional purposes, including portfolio, marketing, and advertising.

6. Payment Terms

Agreed-upon fees for services are as outlined in your service package or invoice. Payment is due as specified therein. Late payments may be subject to interest charges and may result in the suspension of services.

7. Cancellation and Rescheduling

Cancellations or rescheduling requests must be made at least 48 hours in advance of the scheduled session. Cancellations made with less than 48 hours' notice may be subject to a cancellation fee up to 50% of the scheduled service price.

8. Limitation of Liability

To the fullest extent permitted by law, Mills Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, whether in an action in contract, tort, or otherwise, arising out of or in any way connected with the use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to us for the services in the six (6) months prior to the act giving rise to the liability.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Tarkwa, Ghana.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this site and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
